MEMBERSHIP TERMS & CONDITIONS
Welcome Pass SAS, is a limited Company, having the company number 533 460 721 and whose registered office is at 235  Rue du Faubourg St Honoré - 75008 PARIS. Welcome Pass SAS acts as an intermediary between its Members, suppliers and service providers.
 
1. Introduction

1.1. This document (together with any documents referred to in it) tells you the terms and conditions upon which we sell and supply our services
1.2. Before confirming your membership please:

    1.2.1. Read through these terms and conditions.
    1.2.2. Please keep a copy of the terms and conditions and our privacy policy for future reference
    1.2.3. Read our privacy policy regarding your personal information.
1.3. By becoming a member of Welcome Pass, you agree to be legally bound by these terms and Conditions. You will be unable to proceed with your membership if you do not accept these terms and conditions that may be modified or amended from time to time
1.4. We reserve the right to revise and amend the terms and conditions at any time.  


2. ABOUT US

2.1. Welcome Pass SAS is a limited company registered in France under company number: 533460721 having our registered office at 235 rue du Faubourg St Honoré, 75008 Paris, France.
2.2. Welcome Pass is a lifestyle management company and you, our Member request that we arrange tasks on your behalf. Certain tasks services will be carried out for you by third party suppliers. We ensure to the best of our knowledge that all suppliers we use are top quality and we work with many recommendations to ensure an excellent service.
2.3. You may contact us by email, text message, and telephone to carry out tasks.
2.4. We will only implement tasks that are legal, morale and possible.


3. MEMBERSHIP

3.1. You must complete an online membership application, and sign our terms and conditions before joining Welcome Pass. Welcome Pass holds the right to refuse membership.
3.2. The membership fee is required in advance and in full before commencement of your membership.
3.3. You are responsible for your Membership and must ensure that no one other than yourself or your spouse uses your Membership.
3.4. We offer memberships for 7, 15 and 30 days.


4. MEMBERS RESPONSIBILITIES

4.1. All details provided by you for the purpose of registering with Welcome Pass and purchasing the services must be true, accurate, current and complete in all respects
4.2. You must notify us immediately of any changes of your personal information
4.3. You must be 18 years old or older.
4.4. You must be legally capable of entering into a binding contract
4.5. You are expected to give Welcome Pass the appropriate amount of time for your task to be accomplished.


5. SECURITY

5.1. Upon registration Welcome Pass will set you up (please see membership application) with a password for security reasons.

    5.1.1. We ask you your password from time to time to protect your interests.
    5.1.2. We ask you not to disclose your password to anyone
    5.1.3. We ask you to change your password immediately upon discovering that it has been compromised.

 

6. MEMBERSHIP FEES

Unless otherwise stated, the prices quoted include VAT.

 

7. PAYMENT

Payment can be made by most major credit, debit cards and by personal and company checks issued from a French bank. We also accept bank transfer to Welcome Pass’s bank account.

 

8. CANCELLATION

8.1. Your memberships may be cancelled under these circumstances:

    8.1.1. You fail to make any payment to us when due.   
    8.1.2. You are impersonating any other person or entity
    8.1.3. We suspect that you have engaged, or are about to engage, or have in anyway been involved, in fraudulent or illegal activity.
8.2. In the result of a member’s death, we will refund any membership fees pro rata.

 

9. LIABILITY AND INDEMNITY

9.1. Whilst we shall endeavor to ensure that any suppliers selected by us are competent to carry out the services to a proper standard of workmanship and quality, we shall not be liable if his/her performance falls below that standard.
9.2. We will use all reasonable endeavors to carry out our obligations within a reasonable period of time but will not be liable to you for any loss, costs or expenses arising directly or indirectly from any delays in doing so.
9.3. We will not be liable under this agreement for any loss or damage caused by the sub-contractors, its employees or agents.
9.4. We are not an authorized travel agency/ tour operator but will work with trusted travel suppliers on members’ behalf to arrange all travel plans.
9.5. When a member cancels goods or services from a third party supplier, the member is still bound by the terms and conditions with this supplier.

 

10. FORCE MAJEURE

10.1. We shall have no liability for delays or failures in delivery or performance of our obligations to you resulting from any act, events, omissions, failures or accidents that are outside of our control ('Force Majeure'), which, without limitation, include:

    10.1.1. Strikes, lock-outs or other industrial action
    10.1.2. Shortages of labor, fuel, power, raw materials
    10.1.3. Late, defective performance or non-performance by suppliers
    10.1.4. Private or public telecommunication, computer network failures or breakdown of equipment
    10.1.5. Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.
    10.1.6. Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster or extreme weather conditions.
    10.1.7. Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
    10.1.8. Acts, decrees, legislation, regulations or restrictions of any government
    10.1.9. Other causes, beyond our reasonable control
10.2. Our performance will be deemed to be suspended for the period that the event of Force Majeure continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavors to minimize any delay caused by Force Majeure or to find a solution by which our obligations may be performed despite the Force Majeure event. We shall promptly notify you of any Force Majeure event giving details of it and (where possible) the extent and likely duration of any delay.
10.3. Where the period of non-performance or delay in relation to any event of Force Majeure exceeds 30 days from the date of notice to you of the event of Force Majeure, either you or us may, by written notice to the other, terminate the Contract with immediate effect upon service.

12. INTELLECTUAL PROPERTY RIGHTS

You hereby acknowledge that all present and future copyright and other intellectual property rights subsisting in, or used in connection with, the web site (the “Rights”), including the manner in which the web site is presented or appears and all the information and documentation relating thereto is the property of Welcome Pass and nothing contained herein shall be constructed so as to transfer any of the Rights to you


13. NOTICES

A notice in connection with this Agreement shall be in writing and shall be delivered personally or sent by first class recorded delivery post, fax or e-mail to the party due to receive the notice or communication at its address, as intimated to the other party. The notice or other communication shall be deemed to have been received by the party to whom the notice or other communication has been sent in the case of first class recorded delivery post, 48 hours after the date of posting.

 

14. GENERAL

We reserve the right to change any services, products, product prices, product specifications and availability at any time.


15. GOVERNING LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with law in France. By agreeing to these terms and conditions you agree that the courts of France shall have exclusive jurisdiction to settle any dispute or claim that arises in or out of connection with these terms and conditions or its subject matter.
